This DSBA Commercial Law Committee seminar discusses the various aspects of the updated the DSBA specimen Share Purchase Agreement (SPA) suite of documents (that includes a sample disclosure letter and deed of tax covenant) launched in late 2019. This is an update from the last edition back in 2009. In the ten years since the last edition of the SPA, the legal and regulatory landscape has vastly changed, not least with the enactment of the Companies Act 2014. The Commercial Law Committee is most excited to present this seminar on this new template that will be of benefit to practitioners, the business community and the public. The seminar will introduce the new SPA and the speakers will discuss negotiation of SPA transactions, the commercial landscape and the tax issues of which to be mindful.

Seminar Chair:

Paul is the Chairperson of the DSBA Commercial Law Committee.
