This DSBA Commercial Law Committee seminar will be the launch of the updated the DSBA specimen Share Purchase Agreement (SPA) suite of documents (including sample disclosure letter and deed of tax covenant) that has been revised from the last edition in 2009. In the ten years since the last edition of the SPA, the legal and regulatory landscape has changed significantly, not least with the enactment of the Companies Act 2014.  The Commercial Law Committee is most excited to produce this new template that will be of benefit to practitioners, the business community and the public.

The seminar will introduce the new SPA and the speakers will discuss SPA transactions, the commercial landscape and the tax issues of which to be mindful.

SPEAKERS:

Seminar Chair: Paul Egan

Paul is former Chairman of Corporate at Mason Hayes and Curran & Co. and practises primarily in public company transactions and corporate governance. Paul is Chairman of the Company Law Review Group (CLRG). He is a former member of the Irish Takeover Panel. Paul is author of books on company law and securities law, including Irish and EU Market Abuse Texts (2017), European Union Securities Legislation (5 eds 2004-2014), Irish Corporate Procedures (3 eds 1993-2007), contributor to Bloomsbury’s Companies Acts 1963 to 2012 (2013), Ethics in the Public and Private Sector: the Legislation (2012). Paul is a member of the Irish Stock Exchange Listing and Rules Committees, 2005 to date.

Paul Ryan

Paul is the Chairperson of the DSBA Commercial Law Committee.

Mark Quealy:

Mark is a Partner in William Fry’s Corporate Department. His practice consists primarily of transactional corporate engagements, including mergers and acquisitions, private equity and venture capital investment transactions (acting both for investors and for companies raising funding), and corporate restructurings.  He also has significant experience in the use of partnership and limited partnership structures, both in private equity fund establishment and also in certain joint venture scenarios where they can offer advantages to particular categories of investor.

Rachel Fox:

Rachel is a solicitor, chartered tax advisor and a Partner in William Fry Tax Advisors. She advises multinational and domestic clients on a wide range of issues with particular focus on international tax planning, mergers and acquisitions, capital market transactions and corporate reorganisations. She is a key member of William Fry’s Foreign Direct Investment team providing advice to international clients establishing in Ireland including on IP structuring and cross- border tax planning.

Edon Byrnes:

Edon Byrnes is an experienced Senior Associate in the Corporate Department of DWF, specialising in mergers and acquisitions, private equity backed transactions and corporate restructurings. Edon is a member of the DSBA Commercial Law Committee and chaired the DSBA SPA Sub-committee.

Lisa McEllin:

Lisa is an Associate Solicitor in the Corporate and Commercial Department of LK Shields Solicitors advising Irish and international clients on company law matters.  She has experience in a wide range of corporate transactions including mergers and acquisitions, restructurings, private equity investments and shareholder agreements.  Lisa is a member of the DSBA Commercial Law Committee.
